These Terms of Use (“Terms”) govern your access to and use of the website and related services provided by Positus Online (“we,” “us,” or “our”), including this meter reading and utility operations platform.

Our Privacy Policy explains how we collect and use personal information, including for email and SMS.

1. Agreement

By accessing or using this website or related services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site or services.

2. Services

Positus Online provides a meter reading and utility operations platform. Meter reading and utility operations platform.

Features may change over time. We may update, suspend, or discontinue any part of the services for maintenance, security, legal, or operational reasons.

3. Accounts and eligibility

Some features may require an account or membership relationship. You agree to provide accurate information and to keep credentials confidential. You are responsible for activity under your account. You must be authorized to use the portal on behalf of yourself or the member/customer account you represent.

4. Acceptable use

You agree not to:

Use the services for any unlawful, harmful, or fraudulent purpose.
Attempt to gain unauthorized access to systems, accounts, or data.
Interfere with or disrupt the site, networks, or messaging systems.
Scrape, harvest, or misuse contact information or other personal data.
Send spam or unsolicited communications using our systems.
Reverse engineer or misuse the software except where prohibited restrictions are unlawful.

5. Communications

When you provide a phone number or email address, or otherwise opt in, you may receive messages for service announcements, billing notifications, and account verification by email and for service announcements, billing notifications, and account verification by text message, subject to applicable consent requirements and the terms below.

These SMS terms apply to text messages sent by or on behalf of Positus Online using Twilio.

Message frequency: Message frequency may vary.
Rates: Message and data rates may apply.
Opt-out: Reply STOP to cancel. You may also follow other opt-out instructions we provide.
Help: Reply HELP for help. Additional support contact information is listed in the Contact section below and at joel@catontech.com .
Carrier liability: Carriers are not liable for delayed or undelivered messages.
Privacy: Mobile information and SMS opt-in data are handled as described in our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Consent to receive automated text messages is not required as a condition of purchasing any property, goods, or services where such a condition is prohibited by law. You can withdraw SMS consent at any time by replying STOP.

7. Email terms

We may send emails through Twilio SendGrid for service announcements, billing notifications, and account verification. These are transactional or relationship messages sent as needed to provide the service and operate your account.

If we ever send non-transactional or promotional email, we will obtain affirmative consent, identify the sender, provide an unsubscribe mechanism, and otherwise comply with applicable law and Twilio SendGrid’s Email Policy. Unsubscribing from promotional email does not necessarily stop transactional service messages related to your account.

8. Intellectual property

The website, branding, text, graphics, and software are owned by Positus Online or its licensors and are protected by intellectual property laws. You may use the site for its intended purpose only. You may not copy, modify, distribute, or create derivative works except with prior written permission or as allowed by law.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that all billing, meter, or account information displayed will always be complete or current.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSITUS ONLINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

11. Indemnity

You agree to defend, indemnify, and hold harmless Positus Online and its officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the services, your violation of these Terms, or your violation of any law or third-party right.

12. Governing law

These Terms are governed by the laws of the State of Mississippi, without regard to conflict of law principles. Courts located in Mississippi will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by law.

13. Termination

We may suspend or terminate access to the services if you violate these Terms, if required by law, or if needed to protect the security or integrity of the services. Provisions that by their nature should survive termination will survive.

14. Changes

We may revise these Terms by posting an updated version at this URL with a new “Last updated” date. Material changes may also be communicated by other reasonable means. Your continued use after changes become effective constitutes acceptance of the revised Terms, except where additional consent is required by law.
